Welcome to the MyHealth website and mobile application at Stanford Health Care. Stanford Health Care (“SHC”, “we”, “our”, or “us”) offers the mobile application, the website located at https://myhealth.stanfordhealthcare.org, and all related services (“MyHealth” or “Services”) subject to your compliance with the terms, conditions, and notices set forth below (“Terms”).

MyHealth is not a substitute for direct care and should not be used for emergencies or urgent matters that could affect your health. If you have a medical emergency, call your healthcare provider, dial 911, or go to the nearest emergency room. DO NOT USE MYHEALTH FOR URGENT OR EMERGENCY MATTERS.

Please read these Terms carefully before you use MyHealth as they are a legal agreement between you and SHC once they are accepted. By clicking “ACCEPT” or other similar icon, or otherwise by accessing or using any of the Services, you accept and agree to be bound by these Terms, including the mandatory arbitration provision and class action waiver below. If you do not agree with any portion of these Terms, including the mandatory arbitration and class action waiver provisions, then do not click “I accept” or other similar icon and do not use MyHealth.

IMPORTANT NOTICE REGARDING ARBITRATION FOR U.S. CUSTOMERS - IF YOU RESIDE IN THE U.S., NOTE THAT THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS AND LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF CERTAIN DISPUTES.

User Age and Eligibility

Access to MyHealth is restricted to adults who agree to these Terms. By accessing MyHealth, you affirm (1) that you are at least eighteen (18) years old and possess the legal right and ability to enter into and follow these Terms; and (2) the registration information you submit is accurate, true, current and complete. It is unlawful to misrepresent yourself to gain access to someone else’s health data and unauthorized activities may be subject to prosecution. Your access to and use of MyHealth are subject to all applicable federal, state, local and international laws and regulations. All patient information viewed through MyHealth is strictly confidential and is subject to the protections of applicable state and federal law.

Your Permission to Use the Services

SHC grants you limited personal permission to access and use MyHealth in accordance with these Terms. You agree not to transmit content or information that you do not have the right to transmit or that infringes the right of any party, and you agree to use MyHealth in compliance with all applicable laws. Your permission terminates immediately, without further action by SHC, if you breach these Terms. You may not transfer or assign your permission to any other party.

Proprietary Rights

You understand that MyHealth may be subject to patent, copyright, trademark or other intellectual property protection and that the ownership of software and other intellectual property related to MyHealth, as well as the goodwill associated therewith, remains with SHC or its licensors. You agree that any improvements or other changes to MyHealth are the sole property of SHC.

SHC is the owner or licensee of all rights in MyHealth, its content, software, and related services. You have no right to such content, software or services if not expressly granted in these Terms. “Stanford Health Care”, “MyHealth”, and related logos and marks are owned by SHC. All other trademarks appearing on MyHealth are the marks of their respective owners. No right, title or interest in those trademarks is granted you in these Terms.

MyHealth Enrollment

Your enrollment in MyHealth is contingent on verification of your identity. If you enroll in MyHealth in person or by mail, you will receive an access code from SHC. This access code will permit you to create a user identification and password, which will be used to log in to the website and mobile application. If you fail to use your access code within sixty (60) days, it will expire and you will have to obtain a new access code. You may also receive an invitation to enroll in MyHealth via SMS. Upon receiving this invitation, you will be required to verify your identification and create your username and password. These SMS invitations are valid for a limited time (currently 24 hours). Once expired, you can no longer utilize the SMS invitation to create an account and will have to contact the MyHealth Service Desk (866) 367- 0758 or your SHC clinic to receive another SMS invitation. You may be subject to charges for SMS messaging from your wireless provider depending upon your service plan.

Your Account

Your information on MyHealth is protected by your user identification and password. You are responsible for the safety of your login information and for restricting access to your devices, and you agree to accept responsibility for all activities that occur under your account or password. You agree that any registration information you provide on MyHealth will be accurate and complete.

The security of your health information on MyHealth is dependent upon selecting a secure password and keeping it safe. For your security, we recommend you select a password between eight (8) and twenty (20) characters long that contains at least one (1) letter and one (1) number. Passwords should not contain words, your birthday, your social security number, or any easily guessed information.

It is important that you keep your username and password confidential, as anyone who knows them may access your confidential medical information and messages. Please notify SHC immediately and change your password if you believe the security of your information has been compromised. To maintain the security of MyHealth, you may be asked to change your password periodically. You can change your password by selecting the “Forgot Password” link on either the MyHealth homepage or the mobile application menu. If you misuse or abuse your access to MyHealth, SHC may discontinue your access without prior notice.

Your Health Information

By using MyHealth, you provide SHC the right to release your protected health information to you via MyHealth including, but not limited to, appointments, test results, physician notes, medical history, medications, and allergies. The information available in MyHealth is a summary and is not your complete medical record. You may obtain a complete copy of your SHC medical record by following the instructions located at Health Information Management Services.

MyHealth is offered as a convenience to you as an SHC patient (to allow you to access portions of your SHC medical record), and you are solely responsible for any communication of your health information, whether intentionally or not, to others. You agree that SHC employees other than your individual health care provider may be involved in reviewing and responding to your communications through MyHealth. Thus, you should not use MyHealth for information you wish to discuss only with your individual health care provider.

Your Test Results

By agreeing to these Terms you permit SHC to post your test results (or summaries of results) to MyHealth in a timely fashion as technically feasible unless expressly forbidden by law. Should you decide you no longer would like electronic transmission of your test results, you may deactivate your account. Not all test results are posted to MyHealth. Therefore, it is your responsibility to request results for all tests you have taken by contacting SHC directly.

Your Stanford Health Care Bill

By creating a MyHealth account, you agree to enroll in paperless billing. You can view, print, and pay your SHC bill by going to the MyHealth mobile application or website and selecting “Billing”. When there is a new bill to be paid, you will be notified by email and also by push notification if you have the MyHealth mobile application and have allowed notifications.

You may opt-out of paperless billing at any time by going to the Billing section of the MyHealth mobile application and selecting “cancel paperless billing.” You will then receive paper bills in the mail in addition to the electronic version of the bill that appears in MyHealth.

Your Privacy

SHC considers your privacy to be of vital importance. Please review our Privacy Policy which explains how SHC may use and disclose protected health information. The paragraph below further explains our use of cookies and the usage data collected by our web server while using MyHealth.

Upon accessing the MyHealth, we collect and store in a cookie the following data: (1) the domain name from which you access the Internet; (2) the date and time you access MyHealth; (3) the pages or screens you visit; (4) the address of any website from which you linked directly to us; (5) the name and release number of your web browser software; (6) the version of MyHealth you are using; and (7) the Internet Protocol (IP) address of the client device you are using. This information is used by SHC for evaluation, quality control, and other reasons deemed appropriate by SHC. Your continued use of MyHealth will be taken as consent to the collection, use and disclosure of the usage data described above.

Information Sent by Your Mobile Device.

We collect certain information that your mobile device sends when you use MyHealth, including device identifier, user settings, and the operating system of your device, as well as information about your use of MyHealth.

When you use MyHealth on your mobile device, we collect information about your location by converting your IP address into a rough geo-location or by accessing your mobile device’s GPS coordinates or by proximity to a Bluetooth beacon or course location. We use location information to provide location services such as automatic arrival (eArrival) where we mark you as arrived when you get to one of our facilities, and indoor navigation (Wayfinding) at our facilities. If you do not want us to collect location information, you may disable location- sharing on your mobile device, but you will not be able to utilize the location-enabled services of MyHealth.

Email Opt-out

We may periodically send you email with information related to health services, wellness, events and news about Stanford Health Care. You can unsubscribe from our email by clicking on the “unsubscribe” link in the bottom of the newsletter or by adjusting your email subscription preferences in MyHealth.

SHC must send you email related to delivery of your health care, including, but not limited to, messages from your care team, appointment details and reminders, after visit summaries, test results, SHC bills, health maintenance, and messages related to your account. You will not be able to opt out of these communications if you wish to continue using MyHealth.

Electronic Communications, including SMS text messages

SHC may send you secure messages through MyHealth that contain confidential medical information and other information important to the maintenance of your health. All communications through MyHealth take place via a secure Internet connection and are subject to state and federal laws protecting medical information. You will receive electronic mail notifying you that new information is available on MyHealth, but these emails will not contain any confidential medical information. We may also send you SMS messages when providing support through our Service Desk to provide a password reset or perform user validation or for other use cases. SMS Message frequency will vary. By agreeing to these terms, you agree to our use of SMS messaging.

You can cancel the SMS service at any time. Just text "STOP" to our short code. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.

If you experience issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly by calling our Service Desk at (866) 367-0758.

Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless carrier.

You may also communicate information to MyHealth through the secure Internet connection. When using MyHealth to send secure messages to your health care team, use the provided drop-down box relating to the subject of the communication in the message’s subject line. If your provider is not available, messages sent through MyHealth may be forwarded to other authorized SHC health providers.

MyHealth is not intended to replace or to serve as a substitute for in-person meetings and/or personal conversations with your physician. If MyHealth is unavailable, you should use other means to contact SHC and your health care team for non-urgent matters.

Please note that all MyHealth communications become part of your SHC health record. However, your communication does not constitute a formal addendum or amendment to your existing medical records and may not be considered part of your designated record set at SHC. To request an addendum or amendment of your medical records you should contact SHC’s Health Information Management Services at 300 Pasteur Drive, HC006, MC 5202 Stanford, CA 94305-5202.

Security; Risks of Using Secure Sites and Secure Messaging

SHC uses 128-bit encryption technology and takes other precautions to ensure that the information contained or transmitted via MyHealth is reasonably secure from unauthorized use or access. As such, your browser must be enabled to transmit via Secure Socket Layer (SSL) protocol and 128-bit encryption. If your browser currently does not support this protocol, you will see a prompt asking you to update your security and a link to a site where you may obtain the necessary plug-in at no charge. SSL is used for transmitting personal demographic information, personal health information and credit card information. SHC uses industry-standard encryption technologies to protect and secure the MyHealth functionality, including the messaging. Because of the added security of web-based, encrypted messaging, SHC recommends the use of secure messaging within MyHealth, instead of email, for online communications with your care team.

However, while SHC takes measures to safeguard your security, we cannot guarantee absolute security of the system against inadvertent disclosure or intentional intrusion. The use of electronic communication systems such as the World Wide Web (including secure messaging) for communications has a number of risks that users should consider before use. Such risks include, but are not limited to, the following:

As a result of these risks, SHC cannot guarantee the security and confidentiality of messages and other communication submitted through MyHealth and you agree that SHC is not liable for improper disclosure of confidential information.

Use of MyHealth Messaging

MyHealth messaging is intended for non-urgent medical questions to your clinic care team. MyHealth messaging can also be used for care coordination, visit follow-ups, and questions about prescriptions, test results, and billing.

Medical questions may not be answered before your first visit. Your physician may address your questions only once he or she has evaluated you.

If MyHealth messaging is inappropriate for your question or need, your care team may redirect you to schedule a visit or to some other channel or service to answer your question or need.

Accuracy and Integrity of Information

SHC attempts to ensure the accuracy and integrity of information in MyHealth but makes no guarantees. You information in MyHealth may include typographical errors, inaccuracies, or other errors. Should you find any information to be inaccurate, please submit a written and signed request to Stanford Health Care, Attn: Health Information Management Services, 300 Pasteur Drive, HC006, MC 5202, Stanford, CA 94305-5202 explaining which information is inaccurate and how it should be corrected. Information contained in MyHealth may be changed or updated without notice. Submission of a signed request does not guarantee the information will be updated nor create a timeframe for updates.

Application Availability

Although SHC works to communicate when MyHealth will be unavailable due to maintenance, backup, or other system outages, providing such advance notice may not be possible at all times, and SHC cannot guarantee that you will be able to access MyHealth at any particular time. During times when MyHealth is unavailable, other communication methods (such as the telephone) should be used to contact SHC.

License and Restrictions

SHC grants you a limited, revocable, nontransferable and nonexclusive license to access and make personal use of MyHealth and the accompanying services in accordance with these Terms. You may not reproduce or copy the MyHealth website, mobile application, or contents thereof, or modify any content or proprietary notices from materials downloaded or printed from MyHealth. You are not allowed to: use MyHealth for the benefit of a third party or for personal financial benefit; create derivatives of MyHealth or its contents; transmit or provide content from MyHealth to a third party; incorporate content from MyHealth in third-party product; use data-mining, robots, or similar data gathering and extraction tools; or use MyHealth in contravention to applicable law. MyHealth and all of its content is the property of SHC, its licensees, or its content providers, protected by United States and international copyright and other laws, and cannot be reproduced, duplicated, copied, published, sold, visited, or otherwise exploited for any commercial purpose without express written consent from SHC. You may not use any SHC logo, graphic or trademark as part of the link without express written permission from SHC. Any unauthorized use automatically terminates the licenses and permission granted above by SHC. SHC and its affiliates reserve the right to block access, refuse services, or remove or edit content in connection with MyHealth.

Links to Other Sites/ Third-Party Content

MyHealth contains links to third-party Internet sites and content, or you may choose to use third-party services in conjunction with your use of MyHealth, (“Third-party Content”) that are not owned or maintained by SHC. Any links to Third-party Content are included for your convenience and do not imply approval or endorsement by SHC. Such Third-party Content may include, but are not limited to, translation services, location services, and other third-party offerings. SHC makes no warranties or representations and disclaims any responsibilities for the content of, and products or services offered by, Third-party Content. Further, SHC makes no warranties and disclaims any responsibility for the content, products, or services offered or provided by our licensors and contained in MyHealth. Use of Third-party Content may result in your information being used and/or stored by a third party. If you decide to use Third-party Content, you do so entirely at your own risk and subject to the terms and conditions of such Third-party Content providers.

Warranties and Disclosures

MYHEALTH IS PROVIDED “AS IS” AND “AS AVAILABLE.” SHC MAKES NO, AND HEREBY DISCLAIMS ANY, WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR USE OR PURPOSE. FURTHER, SHC DISCLAIMS ANY WARRANTY THAT MYHEALTH OR ANY COMPONENT THEREOF WILL BE AVAILABLE AT ALL TIMES OR OPERATE WITHOUT INTERRUPTION OR ERROR. SHC MAKES NO WARRANTY AS TO THE RELIABILITY, ACCURACY, TIMELINESS, USEFULNESS, ADEQUACY, COMPLETENESS OR SUITABILITY OF THE SERVICES OR INFORMATION PROVIDED THROUGH MYHEALTH. USE OF INFORMATION OBTAINED FROM OR THROUGH MYHEALTH IS AT YOUR OWN RISK.

Limitations of Liability; Indemnity

IN NO EVENT WILL SHC OR ANY OF OUR AFFILIATES OR RESPECTIVE OFFICERS, TRUSTEES, DIRECTORS, EMPLOYEES, VOLUNTEERS, REPRESENTATIVES, AGENTS, OR CONTRACTORS BE LIABLE TO YOU (WHETHER UNDER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR ANY OTHER THEORY) FOR: (i) ANY INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR UNFORESEEABLE (INCLUDING DEFAMATION, ERRORS, INACCURACIES, DEFECTS, OR LOSS OF USE, DATA OR INFORMATION) ARISING OUT OF OR RELATED TO USE OF OR INABILITY TO USE MYHEALTH, ANY RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH MYHEALTH, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES, OR (ii) DAMAGES ARISING OUT OF OR RELATING TO USE OR INABILITY TO USE MYHEALTH, ANY RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH MYHEALTH, OR THESE TERMS EXCEEDING, IN THE AGGREGATE FOR ALL CLAIMS, ONE HUNDRED UNITED STATES DOLLARS ($100.00).

EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN YOU AND SHC. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SHC. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THESE TERMS WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

EXCEPT TO EXTENT PROHIBITED BY APPLICABLE LAW, SHC’S LIABILITY TO YOU IS LIMITED AS SET FORTH IN THIS SECTION. BECAUSE SOME STATES OR COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL, INCIDENTAL, OR OTHER DAMAGES OR TOTAL LIABILITY, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

In consideration for use of MyHealth, you, on behalf of yourself and your heirs, executors, administrators, legal representatives, and personal representatives, hereby release, waive, acquit and forever discharge SHC from and against, and covenant not to sue SHC for, all claims you have or may have arising out of or in any way related to MyHealth or these Terms. IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE YOUR RIGHTS UNDER CALIFORNIA CIVIL CODE 1542, WHICH STATES “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

In addition, you agree to indemnify SHC and its affiliates, trustees, officers, directors, employees, students, volunteers, representatives, agents, and contractors (collectively, “Indemnified Parties”) from and against any and all claims, actions, suits, demands, liabilities, damages, losses, penalties, interest, fines, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to: (i) your use of, your inability to use, or your reliance upon MyHealth or any of its components; or (ii) your violation, or a violation using your account, of these Terms or any applicable law. You agree to provide SHC and the Indemnified Parties with cooperation as reasonably requested related to any such claims, actions, suits, or demands.

This section entitled “Limitations of Liability; Indemnity” shall survive termination of this agreement.

Binding Arbitration

Please read the following Section carefully because it requires you to arbitrate certain disputes and claims with SHC and limits the manner in which you can seek relief from us.

Except for any disputes, claims, suits, actions, causes of action, demands or proceedings (collectively, “Disputes”) in which you or SHC seek injunctive or other equitable relief for the unlawful use of intellectual property, you and SHC agree (a) to waive your and SHC’s respective rights to have Disputes arising from or related to MyHealth or these Terms resolved in a court, and (b) to waive your and SHC’s respective rights to a jury trial. Instead, you and SHC agree to arbitrate Disputes through binding arbitration.

Waiver of Right to Participate in a Class Action.

By entering into these Terms, you and SHC each waive the right to participate in a class or representative action.

Federal Arbitration Act.

You and SHC agree that MyHealth and these Terms each affect interstate commerce and that the enforceability of this Section shall be both substantively and procedurally governed by and construed and enforced in accordance with the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the “FAA”), to the maximum extent permitted by applicable law.

Notice; Informal Dispute Resolution.

You and SHC agree that each party will notify the other party or parties in writing of any arbitrable Dispute within thirty (30) days of the date it arises, so that the parties can attempt in good faith to resolve the Dispute informally. Notice to SHC shall be sent by certified mail or courier to Stanford Health Care, Attn: Privacy Officer, 300 Pasteur Drive, Mail Code 5780, Stanford, CA 94305, with a copy to Stanford University Office of General Counsel, Attn: Deputy General Counsel for Health Care, 450 Serra Mall, Building 170, 3rd Floor, P.O. Box 20386, Stanford, CA 94305. Your notice must include (a) your name, postal address, telephone number and/or mobile phone number, the email address you use or used for your account and, if different, an email address at which you can be contacted, (b) a description in reasonable detail of the nature or basis of the Dispute, and (c) the specific relief that you are seeking. Our notice to you will be sent in accordance with the Section titled “Notices” below, and will include (x) our name, postal address, telephone number and an email address at which we can be contacted with respect to the Dispute, (y) a description in reasonable detail of the nature or basis of the Dispute, and (z) the specific relief that we are seeking. If you and SHC cannot agree how to resolve the Dispute within thirty (30) days after the date notice is received by the applicable party, then either you or SHC may, as appropriate and in accordance with this Section, commence an arbitration proceeding or, to the extent specifically provided for in this Section, file a claim in court.

Process.

Except for Disputes that seek injunctive or other equitable relief for the alleged unlawful use of intellectual property, you and SHC agree that any Dispute must be commenced or filed by you or SHC within one (1) year of the date the Dispute arose, otherwise the underlying claim is permanently barred (which means that you and SHC will no longer have the right to assert such claim). You and SHC agree that (a) any arbitration will occur (i) in Santa Clara County, California or (ii) telephonically, (b) arbitration will be conducted confidentially by a single arbitrator in accordance with the American Arbitration Association’s (“AAA”) Consumer Arbitration Rules in effect at the time the arbitration is initiated, as modified by the terms here (“AAA Rules”), which are hereby incorporated by reference, and (c) that the seat of the arbitration shall be Palo Alto, California and that state or federal courts sitting in Santa Clara County, California, have exclusive jurisdiction over any litigation in aid of arbitration and the enforcement of any arbitration awards. The parties shall attempt to agree on the single arbitrator to be appointed to resolve the dispute. If the parties are unable to reach agreement within thirty (30) days after commencement of the arbitration with the AAA, the arbitrator selection process identified in the AAA Consumer Arbitration Rules shall apply. Each party shall be responsible for its costs incurred in such arbitration, but the arbitrator shall not have the authority to re-allocate those costs in an award or otherwise. If you cannot afford to pay for the arbitration, you agree to provide us the option of paying the arbitrator before seeking to initiate any other form of dispute resolution, including litigation. As part of the arbitration, both you and SHC will have the opportunity to reasonable discovery of non-privileged information that is relevant and material to the Dispute, including the ability to request from each other, and third parties, documents, information and testimony that is relevant and material to the Dispute.

Authority of Arbitrator.

As limited by the FAA, these Terms and the applicable AAA rules, the arbitrator will have (a) the exclusive authority and jurisdiction to make all procedural and substantive decisions regarding a Dispute, including the determination of whether a Dispute is arbitrable, and (b) the authority to grant any remedy that would otherwise be available in court; provided, however, that the arbitrator does not have the authority to conduct a class arbitration or a representative action, which is prohibited by these Terms. The arbitrator may only conduct an individual arbitration and may not consolidate more than one individual’s claims, preside over any type of class or representative proceeding or preside over any proceeding involving more than one individual. Notwithstanding any other provision of this Section, any and all issues relating to the scope, interpretation and enforceability of the class action waiver provisions contained in this Section, are to be decided only by a court of competent jurisdiction, and not by the arbitrator.

Rules of AAA.

By agreeing to be bound by these Terms, you either (a) acknowledge and agree that you have read and understand the AAA Rules, or (b) waive your opportunity to read the AAA Rules and any claim that the AAA Rules are unfair or should not apply for any reason.

Choice of Law/ Forum Selection/ International Use

MyHealth is hosted by SHC on computing resources located at SHC facilities or elsewhere in the United States. You agree that any dispute arising out of or relating to MyHealth or these Terms, whether based in contract, tort, statutory or other law, will be governed by and construed in accordance with the laws of the State of California, as such laws would apply to a contract fully negotiated, entered into, and performed in that state. You and SHC each irrevocably agree that any Dispute that is not subject to arbitration, shall be resolved on an individual basis exclusively in the state or federal courts located in Santa Clara County, California. You and SHC each irrevocably consent to the personal jurisdiction of these courts and waive all objections to the exercise of jurisdiction by these courts and to this venue. Notwithstanding the foregoing, however, you and SHC agree that SHC may commence and maintain an action or proceeding seeking injunctive or other equitable relief in any court of competent jurisdiction. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

Because MyHealth may be accessible internationally, you agree to comply with all local statutes, rules, regulations and other laws including, without limitation, all laws, rules, and regulations in effect in the United States, the country in which you reside, and the country from which you access MyHealth. The information on MyHealth is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to the laws of that jurisdiction or country or those of the United States, or which would subject SHC to any registration requirement within such jurisdiction or country.

Account Deactivation

An account may be deemed abandoned and expired if the account has no activity for two calendar years. In order to maintain an active status on your account, then it is your responsibility to periodically log in. Should your account be expired, you must contact SHC in order to receive a new activation code.

Termination of Access

Abuse of the MyHealth Application, including excessive messaging, inappropriate usage of messaging, or repeated failure to show up for appointments that you have scheduled through MyHealth may cause your MyHealth access to be revoked without prior notice. SHC may terminate your access to MyHealth at any time, without notice, and with or without cause.

Communication Preferences

By creating an account, you agree to receive notices and communications from SHC in connection with MyHealth or these Terms by electronic mail, First Class U.S. Mail, messages in the MyHealth mobile application, or notices posted on the MyHealth website. You agree that any messages, notices, disclosures, or other communications sent electronically will satisfy any legal communication requirements. You may maintain copies of electronic communications by printing or saving a copy.

General

These Terms constitute the entire agreement between you and SHC relating to the MyHealth website, mobile application, and related services, and supersedes any prior agreements. No modification of these Terms by you shall be binding on SHC unless made in writing and physically signed by an authorized representative of SHC.

You may not assign or transfer your rights or obligations under these Terms in whole or in part to a third party without our consent. These Terms shall bind and inure to the benefit of the parties to these Terms and their permitted successors and assigns. The parties are independent contractors and are not partners, joint venturers, agents, employees or representatives of the other party. These Terms constitute the entire agreement between you and SHC regarding your use of MyHealth. The headings and captions used in these Terms are used for convenience only and are not to be considered in construing or interpreting these Terms. If any part of these Terms is held to be unlawful, void or unenforceable, that part will be deemed severable and shall not affect the validity and enforceability of the remaining provisions. Stanford’s failure to enforce any provision of these Terms shall not be deemed a waiver of that or any other provision of these Terms.

SHC is not be liable for failure or delay in performing its obligations if such failure or delay is due to a force majeure event or other circumstances beyond SHC’s reasonable control, including acts of any governmental body, war, cyber war or attack, terrorism, insurrection, sabotage, embargo, fire, flood, severe weather, earthquake, tornado, hurricane, pandemic, labor disturbance, interruption of or delay in the internet or transportation, unavailability of third-party services, failure of third-party software or services, or inability to obtain raw materials, supplies, or power used in or equipment needed for provision of MyHealth or any other products or services contemplated by these Terms.

The use of this Application is unauthorized in any jurisdiction that does not give effect to the Terms of Use contained herein.

Changes to these Terms

SHC may update these Terms from time to time for any reason in our sole discretion and without prior notice. SHC may notify you of changes to the Terms through email, the MyHealth mobile application, or other forms of communication. Even if SHC does not notify you, it is your obligation to check these Terms regularly for changes. Your continued use of MyHealth following a change means that you accept and agree to the changes; provided such changes shall only apply to your use of MyHealth after the effective date of such change. If you do not agree with the changes, immediately stop using MyHealth.
